OEM or ODM: whose design, whose tooling, whose exit
Both routes end with your name on the box, and that is where the similarity stops. What separates them is not price or quality but ownership: whose drawings the plant builds to, who paid for the tooling, and who may sell that design to the next buyer. Settle those three questions and everything else — development effort, time to first shipment, and what you can carry away — follows from them.

What actually changes hands is the design record
An OEM arrangement transfers a specification into a factory: drawings, tolerances, a bill of materials, test criteria and a revision history you control. The plant quotes against that package and is accountable for building to it. Under an ODM arrangement the package already exists inside the supplier, and what reaches you is a datasheet, a sample and a list of options. The difference becomes concrete the first time something must change. Holding your own record, you raise the change, assess it and instruct the plant. Holding the supplier's, you ask — and the answer depends on whether the change suits their other customers and their existing tooling.
Tooling ownership decides who holds the exit
Moulds, dies, fixtures and test jigs are where a manufacturing relationship quietly hardens. When you fund tooling, the agreement should name you as owner and state where it is stored, who maintains it, how wear is assessed and on what notice it can be collected, because that tooling is what makes a move to a second plant possible at all. Platform tooling inside an ODM belongs to the factory and is spread across every buyer of that platform, which is part of why the entry commitment is lighter. The consequence is that leaving is not a transfer of production; it is the selection of a different product and a fresh qualification programme.
Most real agreements sit somewhere between the two
Plenty of relationships begin as pure catalogue purchases and then drift: you commission a housing change, specify a different connector, ask for a firmware behaviour. Each modification raises a question the original contract rarely answers — who owns the modified design, and may the supplier offer the improved version to the next buyer. Settle that before the first change rather than after the third. The clauses that earn their place cover ownership of buyer-funded modifications, an exclusivity window on the modified variant, title to tooling you paid for, and the conformity evidence the supplier must hand over on request. Without them, you can finance development that improves a rival's product.
Frequently asked questions
- Can the same supplier act as both an OEM and an ODM partner?
- Many do. A factory may hold its own catalogue of platforms while also running build-to-print work for customers who arrive with drawings. Treat the two engagements as separate contracts, because the ownership terms are not the same and cannot be blended. The hazard in mixing them casually is that your build-to-print design and the supplier's own platform converge over time, and nobody recorded which features originated where. Keep drawing packages, change records and tooling registers apart from the first order onward.
- Who owns an improvement the factory proposes to my design?
- Whoever the contract says owns it, which is why the clause matters more than the goodwill. A supplier engineer who suggests a better rib layout or a cheaper fastener has contributed to your design record, and with no agreement in place the position can be argued in every market where you sell. Common practice assigns buyer-funded modifications to the buyer while granting the supplier a licence for internal process use. Agree the position before development starts, and log improvements against a revision rather than an email thread.
- If I buy an ODM product, is it still my product?
- You can brand it, market it and be the responsible party placing it on the market, which is a genuine legal duty rather than a formality. What you cannot claim is exclusivity unless the agreement grants it, and you cannot take the design with you when the relationship ends. Buyers in regulated categories should establish early who holds the test reports and technical documentation, because the obligation to produce that evidence usually follows the brand shown to the customer.
